Prism’s Advisory Board provides strategic advice, high-level contacts and insight to our portfolio and funds. Our Advisory Board members have decades of executive experience and have successfully navigated the full spectrum of market conditions through their careers.

THE OPERATING ADVISORY BOARD

Prism Mezzanine Fund has organized an Operating Advisory Board of senior operating professionals which can assist the professionals of PMF in reviewing potential investments and provide valuable advice after PMF has funded investments. The Operating Advisory Board currently includes:

WILLIAM CARMICHAEL

Former Senior Managing Director and Co-Founder of The Succession Fund. Prior to The Succession Fund, Mr. Carmichael worked for Price Waterhouse for four years in addition to twenty-six years of experience in various financial positions with global consumer product companies. Positions he held include Senior Vice President of Sara Lee Corporation, Senior Vice President and Chief Financial Officer of Beatrice Foods Company, and Vice President of Esmark, Inc. Mr. Carmichael is a Director of Cobra Electronics Corporation, The Finish Line, and Chairman of the Columbia Funds, a group of Bank of America advised mutual funds. He serves on many charitable boards and is also an adjunct professor of finance for the Kelley School of Business at Indiana University.

W.H. CLARK

Spent his entire career with Nalco Chemical Co., starting out as a Sales Representative in 1956 and retiring as Chairman, President and Chief Executive Officer in 1995. He currently serves on the board of Merrill Lynch and formerly served on the boards of Diamond Shamrock and Bethlehem Steel.

ROBERT COVALT

Current President of RBC Associates, Inc. Previous Chairman and Chief Executive Officer of Sovereign Specialty Chemicals, Inc. He is also a Director of CFC International, a company that manufactures coatings, colorants, finishing products and paints.

MARTHA DALLY

Recently retired from Sara Lee Corporation, a $19B consumer packaged goods company, where she was employed for 30 years. She worked in executive Sales/Marketing and General Management roles focused on the largest retailers in both the US and in Europe, developing business, and relationships, with customers’ senior managements. Major accomplishments were in managing the balance of power between customer and supplier such that profits and market share growth were accelerated beyond the market average. Significant logistics experience was a necessary strength to build bottom line profits for Sara Lee. Ms. Dally has served for 12 years on the Board of American Woodmark Corporation, a manufacturer and seller of kitchen cabinets and vanities, and is the past chair of the Compensation Committee and is the current chair of the Governance Committee.

JOHN FIEDLER

Former Chairman and Chief Executive Officer of Borg-Warner, Inc. Currently a Director of Mohawk Industries Incorporated-the leading producer and distributor of flooring worldwide, Roadway Corporation, Cooper Tire & Rubber Company and AirTran Holdings, Inc.

GEORGE GILMORE

Chief Operating Officer of MacLean-Fogg and President & CEO of MacLean Vehicle Systems, an automotive parts supplier. Mr. Gilmore is the former president and CEO of Exelon Enterprises, the $2.4 B division of the $16 billion electric and gas utility Exelon Corporation and has been the president of businesses in a number of different industries. Mr. Gilmore has served on many advisory boards including the President-Elect Bush transition team, NASA and Technology issues in 1989; JetForm Corporation and the National Printing Equipment Association. He is currently a member of the West Point Alumni Association Board of Directors and serves on their Audit Committee.

DON HINDMAN

Chairman of privately held Clark National, Inc., one of the Midwest’s leading distributors of disposables, perishables, and cleaning supplies to the foodservice industry. Prior to acquiring Clark, Hindman was CEO of Time Industries, a container manufacturer, and a long time Director of Jefferson Smurfit.

ROGER HRUBY

Former Chairman and CEO of CFC International, Inc., a leading chemical specialty company which formulates, manufactures, and sells chemically complex, transferable, muti-layer-coatings. Hruby has served on many boards including the Young President’s Organization, University of Chicago Executive Alumni Association, the National Hearing Research Association and the Board of Trustees of North Central College in Naperville, Illinois. In 1998, he was named “Entrepreneur of the Year” and became a member of the Entrepreneurial Hall of Fame in the Chicago Area.

RICHARD KEYSER

Chairman and CEO of W.W. Grainger, Inc., a US distributor of service, repair, and maintenance equipment to businesses. He is also Director of the Principal Financial Group (an umbrella organization for multiple financial service providers that offer pension products and services, mortgage financing, mutual funds and investment advice) and Rohm and Haas Corporation, a specialty chemical company.

LORING KNOBLAUCH

Worked for Honeywell Inc. for twenty years in a variety of General Management/Executive positions. His final operating job for Honeywell was as President, Honeywell Asia Pacific ($2B in Revenue, 8,000 employees), based in Hong Kong. Mr. Knoblauch spent three years as President, International for Hubbell Incorporated (NYSE, $3B) and three years as President and CEO of Talon Automated Equipment Company based in Detroit, Michigan. His last Executive position was as President and CEO, Underwriters Laboratories, the world’s largest Public Safety Testing and Certification Organization. He has managed businesses located in 26 countries and put together and managed 11 International Joint Ventures.

THOMAS MCKANE

Chairman of A.M. Castle & Co., a publicly-traded preprocessor of steel and a specialty metal service center. During his previous 30 year tenure at Emerson Electric Company and its subsidiaries, Mr. McKane held several positions including: Senior Vice President of Emerson Electric Co., Chairman and CEO of EGS Electrical Group, and President and COO of SB Power Tool Co.

RON MORRIS

President and CEO of privately held Western Industries, a manufacturer of metal and plastic products and systems for industrial and retail customers. Earlier in his career, Morris had been Chairman of Powerway, Vice Chairman of Rexnord, President of PT Components and President of Tenneco Automotive. He currently serves on two public company boards and one private company board.

RICHARD PIERCE

Retired Managing Director of Russell Reynolds & Associates, where he led the global automotive practice. He is presently a consultant specializing in human capital areas with a special emphasis on entrepreneurial issues. He is also a Director of a small capitalization, publicly-held company where he chairs the Compensation, Stock Option, and Acquisition Committees.

GEORGE ROBERTS

Spent 13 years at Oracle Corporation, most recently having served as Executive Vice President of North American Sales. While at Oracle, Mr. Roberts was responsible for over $1 billion in revenue and over 2,000 employees, reporting directly to the company’s CEO and Chairman, Larry Ellison. He has served as a board member of several fast growing venture capital funded software companies including ScriptLogic Corporation, Fieldglass Inc, and Informance International. He is currently a partner at Openview Venture Partners.

LARRY M. SUR

Vice Chairman of GENCO, a distributions solution company. He was previously Chief Executive Officer and co-founder of IOgistics, Inc., until it was acquired by GENCO in July 2003. Prior to forming IOgistics, he spent 22 years with Schneider National, where he held several positions including Chief Technology Officer, President of Special Markets and President of several Schneider truckload divisions.

ALAN WEINSTEIN

During his three-decade employment career in healthcare Mr. Weinstein focused on developing startup businesses providing services to hospitals through shared programs intended to achieve greater economies of scale. He has founded and served as the president or CEO of several healthcare companies including Premier, Inc., and Premier Health Alliance. He has continued to be involved in healthcare business enterprises as a board member of early and growth stage healthcare companies selling goods and services to hospital systems.
